These Terms apply to all users of the Site, including Sellers (vendors who sell goods or services through the Site), Buyers (users who contact vendors or make purchases through the Site), and Advertisers or Sponsors who purchase directory listings or advertising services on the Site. By accessing or using the Site, you agree to comply with and be bound by these Terms.

FurnitureFinders reserves the right to modify these Terms at any time. Changes will be posted on this page, and your continued use of the Site signifies your acceptance of any revised Terms. It is your responsibility to review these Terms regularly.

Interpretation and Definitions

Words where the initial letter is capitalized have specific meanings defined below. These definitions shall apply consistently regardless of whether they appear in singular or plural form.

Definitions

• Affiliate: Any entity that controls, is controlled by, or is under common control with a party, where "control" means ownership of 50% or more of shares, equity interest, or voting rights.
• Account: A unique account created for You to access the Service.
• Advertiser (or Sponsor): Any individual or entity that purchases directory listings or advertising space on the Site.
• Buyer: Any individual or entity that uses the Site to contact Sellers or to purchase goods from Sellers.
• Company: Refers to FurnitureFinders, LLC, 5000 W Roosevelt Road, Chicago, IL 60644.
• Content: All information, data, text, images, graphics, audio, video, and other material that can be posted, uploaded, linked to, or otherwise made available by You through the Site.
• Device: Any electronic device such as a computer, mobile phone, or tablet that can access the Service.
• Directory Listings: Paid directory services offered to Sellers or Advertisers to promote their business on the Site.
• Feedback: Feedback, innovations, or suggestions provided by You regarding the Service.
• Goods: Items offered for sale on the Site by Sellers.
• Order: A request by You to purchase Goods from a Seller.
• Promotions: Contests, sweepstakes, or other promotions offered by FurnitureFinders.
• Seller: Any individual or entity that lists goods or services for sale on the Site.
• Service: The Website and any services provided by FurnitureFinders, including directory listings and advertising services.
• Subscription: Recurring payment plans offered by the Company for certain services or access to the Site.
• Terms and Conditions: These Terms that govern your use of the Site and form the entire agreement between You and the Company.
• Third-party Social Media Service: Any third-party services or content, including data, information, or products, provided by third-party entities and included or made available on the Site.

• You: Refers to the individual accessing or using the Service, whether as a Seller, Buyer, Advertiser, or other user.

Acknowledgment

These are the Terms and Conditions governing the use of this Service and the agreement that operates between You and the Company. Your access to and use of the Service is conditioned on Your acceptance and compliance with these Terms, as well as the Privacy Policy. If You do not agree with these Terms, you may not access or use the Service.

Privacy Policy

Your access to and use of the Service is also governed by the Company’s Privacy Policy. This policy details how we collect, use, and disclose information about You when You use the Service.

Eligibility

The Service is available to users who are at least 18 years of age. By using the Service, you confirm that you are 18 years or older and legally capable of entering into binding contracts. If you are under 18, you may only use the Service under the supervision of a parent or legal guardian.

Account Registration and Responsibilities

• Sellers must create an account to list goods or services. Sellers are responsible for providing accurate and complete information during registration, including business details, contact information, and product descriptions.
• Buyers may create an account to contact Sellers and make inquiries or purchases. Buyers are responsible for providing accurate information, including payment details and shipping information.
• Advertisers/Sponsors must create an account to purchase advertising space or directory listings. They are responsible for providing accurate and complete information, including business details and payment information, and for adhering to the guidelines for advertising provided by FurnitureFinders.
• Sellers, Buyers, and Advertisers must keep a valid credit card on file for membership renewal and other recurring payments. Failure to maintain an active payment method may result in suspension or cancellation of services.
• Both Buyers and Sellers are responsible for maintaining the confidentiality of their account credentials and all activities that occur under their account. You agree to notify the Company immediately of any unauthorized use of your account or other security breaches.

Platform Disclaimer for Transactions

Furniture Finders, LLC, operates solely as a connection platform that facilitates communication between Buyers and Sellers of used office furniture. All transactions for goods or services between Buyers and Sellers take place off-platform. FurnitureFinders does not:

• Act as a broker or agent in any transaction.
• Handle or process payments between Buyers and Sellers.
• Facilitate the shipment of goods.

FurnitureFinders is not liable for any disputes, damages, or claims that arise from transactions between Buyers and Sellers, including but not limited to disputes regarding the quality, condition, legality, delivery, or payment of goods.

Buyers and Sellers are solely responsible for:

• Conducting their own due diligence before entering into any transaction.
• Verifying the accuracy of the information provided by the other party.
• Complying with applicable laws, regulations, and tax requirements in the execution of their transactions.

Sellers (Vendors) – Rights and Responsibilities

1. Seller Listings

• Accuracy: Sellers must provide accurate and complete descriptions of all goods and services listed, including any applicable warranties, conditions, pricing, and availability. Any discrepancies between what is listed and what is delivered are the sole responsibility of the Seller.
• Compliance: Sellers warrant that all goods and services comply with all applicable laws and regulations, including consumer protection laws, intellectual property laws, and trade regulations.
• Prohibited Items: Sellers are prohibited from listing counterfeit goods, hazardous materials, stolen goods, illegal drugs, weapons, or other items restricted by law.

2. Sales Transactions

• Contract with Buyer: Each sale constitutes a legally binding contract between the Seller and the Buyer. Sellers are obligated to complete the transaction, including timely shipping and accurate fulfillment.
• Shipping and Delivery: Sellers must set and communicate clear shipping policies, including any costs, timelines, and geographic limitations. Sellers are responsible for ensuring that all items are delivered as described.
• Refunds and Returns: Sellers must set clear return and refund policies. Sellers are responsible for processing returns, exchanges, and refunds in compliance with consumer protection laws.

3. Fees and Payments

• Fees: FurnitureFinders may charge listing fees, transaction fees, or other service fees for Sellers. All fees will be clearly disclosed before any charges are incurred.
• Payment Processing: Sellers are responsible for providing accurate and valid payment information to facilitate the sale of goods. FurnitureFinders may offer third-party payment processing services but does not guarantee the security or performance of these services.

4. Communication and Conduct

• Buyer Interaction: Sellers are required to engage in professional and timely communication with Buyers. Sellers must respond to inquiries promptly and resolve disputes in good faith.
• Prohibited Conduct: Sellers may not engage in abusive, defamatory, or otherwise inappropriate behavior towards Buyers. Any such actions may result in the suspension or termination of the Seller's account.

Premier Dealer Rules

FurnitureFinders offers a Premier Dealer membership program, providing verified Sellers with additional benefits and services.

1. Membership Eligibility: The Premier Dealer program is available to verified Sellers who meet eligibility criteria set by FurnitureFinders, including verified business registration and valid payment information.

2. Membership Fees: Premier Dealer members agree to pay recurring membership fees as stated at the time of enrollment. Fees are charged automatically on a recurring basis, and members must maintain a valid credit card on file to continue membership.

3. Cancellation Policy: Members may cancel their Premier Dealer membership at any time by providing written notice to FurnitureFinders. Cancellations will take effect at the end of the current billing period, and no refunds will be issued for partial periods or unused membership benefits.

4. Exclusive Benefits and Services: Membership in the Premier Dealer program may include benefits such as enhanced directory listings, advertising discounts, priority support, or access to special platform features. Benefits are subject to change at FurnitureFinders’ discretion.

5. Code of Conduct: Premier Dealer members must adhere to high standards of professionalism in all interactions with other users and members. Any abuse, harassment, or unprofessional conduct may result in suspension or termination of membership.

6. Non-Transferable Membership: Membership in the Premier Dealer program is non-transferable and may not be assigned to any other party.

Refund and Cancellation Policy for Paid Services

Payments made for Subscriptions, Advertising, or Directory Listings are non-refundable, unless otherwise specified at the time of purchase. Users may cancel their subscriptions or advertisements by providing written notice; however, no refunds will be issued for partial use or unused services. Cancellations will take effect at the end of the current billing period.

FurnitureFinders reserves the right to modify the terms of services, fees, or cancel services at its sole discretion. In cases of service termination initiated by FurnitureFinders, pro-rata refunds may be issued at the Company’s discretion.

Independent Contractor

Sellers who list goods or services on the Site do so as independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between Furniture Finders, LLC, and Sellers. Sellers are solely responsible for managing their business, including but not limited to pricing, inventory, fulfillment, and customer service.

Furniture Finders is not responsible for any representations, promises, or agreements made by Sellers to Buyers and disclaims all liability arising from such transactions.

User Verification and Authenticity Disclaimer

Furniture Finders does not verify the identity of users (including Buyers and Sellers) or the authenticity of any listings on the Site. Users are encouraged to take necessary precautions, including verifying the legitimacy of other parties, before entering into any transaction. Furniture Finders disclaims all responsibility for any fraudulent or false activities conducted on or through the Site.

Disputes Between Buyers and Sellers

Furniture Finders, LLC, is not responsible for resolving disputes arising from transactions between Buyers and Sellers. Any issues regarding the sale, purchase, delivery, or condition of goods must be resolved directly between the Buyer and Seller. Furniture Finders may, at its discretion, provide guidance or contact information to assist in dispute resolution but is under no obligation to intervene or mediate.

Data Collection and Use

By using the Site, you consent to the collection, use, and sharing of your information in accordance with our Privacy Policy. Furniture Finders may collect information such as user activity, contact details, and payment information for the purpose of facilitating services such as advertising, subscriptions, or directory listings. We do not collect payment information for transactions between Buyers and Sellers.

Limitation of Liability Regarding Off-Platform Transactions

Furniture Finders, LLC, is not liable for any damages, claims, losses, or disputes arising from transactions between Buyers and Sellers that occur off-platform. This includes but is not limited to disputes regarding product quality, shipping delays, payment failures, fraud, or misrepresentation. Furniture Finders disclaims all responsibility for any direct, indirect, incidental, special, or consequential damages arising from transactions conducted outside of the Site, including interactions between Buyers and Sellers facilitated by our platform.

Dispute Resolution and Arbitration

Any disputes arising out of or in connection with these Terms, whether between Buyers, Sellers, Advertisers, or the Company, will be resolved through binding arbitration in Illinois in accordance with the commercial arbitration rules of the American Arbitration Association.

By agreeing to arbitration, you waive your right to a trial by jury or to participate in a class-action lawsuit. Arbitration will be the sole method for resolving disputes under these Terms.

Force Majeure

Neither FurnitureFinders nor any Seller, Buyer, or Advertiser shall be held liable for any delays or failures in performance caused by events outside their reasonable control, including but not limited to natural disasters, wars, pandemics, labor strikes, or governmental actions.

Governing Law

These Terms and any disputes arising out of or related to these Terms or your use of the Site will be governed by the laws of the State of Illinois, without regard to its conflict of law provisions.

Severability and Waiver

If any provision of these Terms is found to be invalid or unenforceable, that provision will be severed, and the remaining provisions will continue in effect. No waiver of any right or provision will be deemed a further or continuing waiver of that right or provision.

Changes to These Terms

We reserve the right to modify these Terms at any time. If material changes are made, we will provide at least 30 days' notice before the new terms take effect. Your continued use of the Site after changes are posted signifies your acceptance of the new Terms.
